1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Louisville Web Lab ("we," "us" or "our"), concerning your access to and use of the louisvilleweblab.com website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Site").

You agree that by accessing the Site, you have read, understood, and agree to be bound by all of these Terms and Conditions. If you do not agree with all of these Terms and Conditions, then you are expressly prohibited from using the Site and you must discontinue use immediately.

2. Intellectual Property Rights

Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the United States, foreign jurisdictions, and international conventions.

3. User Representations

By using the Site, you represent and warrant that:

• All registration information you submit will be true, accurate, current, and complete
• You will maintain the accuracy of such information and promptly update such registration information as necessary
• You have the legal capacity and you agree to comply with these Terms and Conditions
• You are not a minor in the jurisdiction in which you reside
• You will not access the Site through automated or non-human means, whether through a bot, script or otherwise
• You will not use the Site for any illegal or unauthorized purpose
• Your use of the Site will not violate any applicable law or regulation

4. Services

Louisville Web Lab sells two fixed-price, fixed-term engagements: The Empty Chair Offer and The Dormant Chair Recovery. Each is governed by a signed Marketing Services Agreement. Nothing on this Site constitutes an offer to sell services outside those engagements.

Search engine optimization, paid media management, web design and development, CRM implementation, marketing automation, and reputation management are components delivered inside an engagement. They are not purchasable separately, are not sold on a retainer, and the specific components included in any engagement are those named in the signed agreement.

5. Payment Terms

Fees are fixed by engagement. The Empty Chair Offer is $7,500 for a 90-day term and guarantees fifteen paying patients, with a full refund and continued work at no fee if the number is missed. The Dormant Chair Recovery is $5,997 for a 60-day term and guarantees a specific dollar figure of scheduled production, written into the agreement before payment, with a full refund if that figure is missed.

One published exception applies to the fixed fee for The Empty Chair Offer: the Founding Practice Offer, limited to 3 practices and closing October 31, 2026, is offered at a lower fee in exchange for the right to use the practice name and its results in a case study. The terms of that exception are published at /engine and are set out in the signed agreement.

Advertising spend is separate from every fee, is paid by the practice directly to the advertising platforms, and is never marked up or refunded by Louisville Web Lab. Refunds are capped at the fees actually paid.

Louisville Web Lab may change its published prices prospectively. A price change does not alter the fee, term, or guarantee of an engagement already signed. The current public prices are listed at /pricing, and the current agreement template is published at /agreement. Where this page and a signed agreement differ, the signed agreement governs.

6. Prohibited Activities

You may not access or use the Site for any purpose other than that for which we make the Site available. The Site may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

As a user of the Site, you agree not to:

• Systematically retrieve data or other content from the Site to create or compile a collection, compilation, database, or directory without written permission from us
• Make any unauthorized use of the Site, including collecting usernames and/or email addresses of users by electronic or other means
• Use the Site to advertise or offer to sell goods and services
• Circumvent, disable, or otherwise interfere with security-related features of the Site
• Engage in unauthorized framing of or linking to the Site
• Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords
• Interfere with, disrupt, or create an undue burden on the Site or the networks or services connected to the Site

7. Limitation of Liability

In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Site, even if we have been advised of the possibility of such damages.

8. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of your use of the Site.

9. SMS/Text Messaging Terms

Louisville Web Lab's SMS opt-in is collected only through the embedded chat widget. Visitors may voluntarily provide a mobile number and tick a separate, optional marketing consent checkbox inside that widget to receive marketing and promotional messages, including special offers, discounts, event promotions, and service announcements.

Louisville Web Lab does not share, sell, or rent your mobile opt-in data or consent with third parties or affiliates for marketing or promotional purposes.

These terms are governed by the laws of the Commonwealth of Kentucky.

10. Governing Law

These Terms and Conditions and your use of the Site are governed by and construed in accordance with the laws of the Commonwealth of Kentucky applicable to agreements made and to be entirely performed within the Commonwealth of Kentucky, without regard to its conflict of law principles.
